Referral Fee Schedule

This Referral Fee Schedule (“Schedule”) is an exhibit to and part of the Provider Listing & Advertising Agreement (“Agreement”) between Certainty Publishing LLC (“Directory”) and the Provider. Capitalized terms have the meaning given in the Agreement.

1. When a Fee Is Earned (Qualifying Placement)

A referral fee is earned only upon a “Qualifying Placement,” defined as: a family or client that the Directory routed to Provider as a Lead, who then enters into services with Provider and, for residential care, physically moves in (“move-in”).

• The Lead must have been routed to Provider through the Directory before Provider's first direct contact with that family, and recorded in the provider dashboard.
• If the same family was already an active prospect of Provider (documented) before the Directory's Lead, no fee is owed.
• For in-home care, “placement” means the client's first billable service date.

2. Fee Amounts by Category

Fees are set per provider category as follows. Amounts are configurable per Provider in the order form; the amounts below apply unless otherwise agreed in writing.

3. Clawback / Refund Window

To protect Providers against placements that do not stick, a referral fee is fully refundable (or voided if unpaid) if the resident or client leaves, cancels, or ceases services within 30 days of move-in or first service, for any reason other than the Provider's own discharge for cause. Provider must notify the Directory within 15 days of the departure to claim the refund.

4. Categories With No Referral Fee

Elder Law & Estate Planning and Hospice Providers are not charged per-lead or per-placement referral fees. Attorney Providers are limited to advertising and subscription placement in keeping with the Illinois Rules of Professional Conduct governing lawyer advertising and referrals. Hospice is treated as advertising-only in this Schedule pending compliance review, given the prevalence of Medicare/Medicaid funding in that category.

5. Medicaid & Publicly Funded Placements

Where a Qualifying Placement involves a client whose care is paid in whole or in part by Medicaid or another public program, no referral fee is charged under this Schedule unless and until a compliant arrangement for that category has been reviewed and approved in writing. This is a deliberate default to avoid fee arrangements that could implicate federal or state rules on referrals for publicly funded care.

6. Invoicing & Payment

• The Directory invoices earned fees monthly, based on placements Provider has marked “Placed” in the dashboard and placements the Directory has verified.
• Provider agrees to keep dashboard Lead statuses current and accurate; the Directory may audit placement records on reasonable notice.
• Invoices are due within 30 days of receipt. Subscription and sponsored-placement fees are billed separately through Stripe and are not affected by this Schedule.

7. Disputes

If Provider disputes whether a fee was earned, Provider will notify the Directory in writing within the invoice period with supporting records. The parties will resolve fee disputes in good faith before treating any amount as past due.

8. Changes

The Directory may update this Schedule prospectively on 30 days' written notice. Changes do not affect fees already earned. Continued participation after the notice period constitutes acceptance of the updated Schedule.
