Provider Listing & Advertising Agreement

This Provider Listing & Advertising Agreement (“Agreement”) is entered into between Certainty Publishing LLC (“Directory”) and the business identified at sign-up (“Provider”), effective as of the date Provider accepts these terms.

1. Listings & Tiers

The Directory offers the following listing options, which Provider may select at sign-up:

• Basic Listing (free): name, category, phone, and a short description.
• Verified Listing (subscription): a Basic Listing plus a “Verified” badge and enhanced profile fields.
• Featured / Sponsored Listing (subscription): top placement within the Provider's category and, where applicable, homepage visibility, plus a “Featured” or “Sponsored” badge.

Current subscription pricing is Verified $29.99/mo; Featured $99/mo, billed through our third-party payment processor (Stripe). Pricing may change on notice.

2. Lead Referrals

For eligible provider categories only (excluding Elder Law & Estate Planning — see Section 3), the Directory may route family inquiries (“Leads”) to Provider. Where the parties have agreed to a referral-fee arrangement, Provider agrees to pay the Directory the fee specified in the attached Referral Fee Schedule upon a qualifying placement.

• Provider will update the status of each Lead (e.g., Contacted, Toured, Placed) in good faith through the provider dashboard.
• Referral fees, triggers, and definitions of a “qualifying placement” are set out in the separate fee schedule and are configurable per Provider category and applicable law.
• Provider is solely responsible for its own care, licensing, and service obligations to any family it contacts; the Directory does not provide care and does not guarantee any Lead will result in a placement.

3. Regulated Categories & Compliance

Attorneys and law firms (Elder Law & Estate Planning): Providers in this category may purchase subscription and sponsored-placement advertising only. Per-lead or per-placement referral fees are not offered to attorney Providers. This reflects the Illinois Rules of Professional Conduct governing lawyer advertising and referral arrangements. Attorney Providers are responsible for ensuring their participation complies with their own professional responsibility obligations.

Medicaid and publicly funded services: Where a Provider serves Medicaid-funded or other publicly funded clients, any referral-fee arrangement is subject to, and will be structured to comply with, applicable federal and Illinois rules governing referrals for such services. The Directory reserves the right to offer such Providers subscription/advertising terms only.

4. Provider Content & Accuracy

Provider is responsible for the accuracy of the information in its listing, including its licensure status, services, service area, and whether it accepts Medicaid or other public pay. Provider grants the Directory a license to display the listing content and any provided images. Provider represents it has the right to use any images it submits.

5. Paid-Placement Transparency

Provider acknowledges that the Directory discloses paid placements (Featured/Sponsored) to families and that placement reflects a paid advertising relationship, not an endorsement or quality ranking.

6. Handling of Family Information

Any family contact information Provider receives through a Lead must be used only to respond to that family's care inquiry, handled securely, and not sold or shared for unrelated marketing. Provider will comply with applicable privacy laws in its handling of such information.

7. Payment & Cancellation

Subscriptions are billed in advance through Stripe and renew automatically until cancelled. Provider may cancel at any time; on cancellation or failed payment, the listing reverts to the Basic tier. Referral fees, where applicable, are invoiced per the fee schedule. Fees already paid are non-refundable except as stated in the Fee Schedule clawback provision or as required by law.

8. Term & Termination

This Agreement continues while Provider maintains a listing. Either party may terminate on notice. The Directory may suspend or remove a listing that is inaccurate, unlawful, or in breach of this Agreement, or if the Provider loses required licensure.

9. No Guarantee; Limitation of Liability

The Directory provides an advertising and matching platform only. It does not guarantee any volume of Leads, placements, or results, and is not a party to any agreement between Provider and a family. To the maximum extent permitted by law, the Directory's aggregate liability is limited to the fees Provider paid in the three (3) months preceding the claim.

10. Indemnification

Provider will indemnify the Directory against claims arising from Provider's services, its listing content, its handling of family information, or its breach of this Agreement.

11. Governing Law

This Agreement is governed by the laws of the State of Illinois. Disputes will be resolved in the state or federal courts located in Winnebago County, Illinois.

12. Entire Agreement

This Agreement, together with the applicable order form and fee schedule, is the entire agreement between the parties regarding the listing and supersedes prior discussions. Amendments will be posted with 30 days' notice.
